"Fezi", "we", "us", or "our" refers to the Fezi service operated by Agastya Puravankara, accessible at fezi.in. "Service" means the Fezi website, application, and all related features, including AI-generated captions, hashtags, post ideas, content plans, shoot plans, and images. "You" or "User" means the individual or entity using the Service. "Content" means any text, images, or other material generated by, uploaded to, or produced through the Service.
You must be at least 18 years old and capable of forming a binding contract under the Indian Contract Act, 1872, to use the Service. If you use the Service on behalf of a business, you represent that you are authorised to bind that business to these Terms. The Service is intended for lawful business and marketing use only.
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to provide accurate information and to keep it up to date. You must notify us promptly of any unauthorised use of your account. We are not liable for any loss arising from unauthorised use of your account that results from your failure to keep your credentials secure.
Fezi is a self-serve tool that uses artificial intelligence to help small businesses create social media content, including captions, hashtags, post ideas, content calendars, filming/"shoot" plans, and images. The Service is provided on an automated, self-service basis. We may add, change, suspend, or remove features at any time without liability.
You acknowledge and agree that:
The Service offers a free plan with limited usage and a paid "Pro" subscription priced at ₹299 per month (plus applicable taxes, including GST). Payments are processed by our third-party payment provider, Razorpay, via UPI or other supported methods. By subscribing, you authorise recurring monthly charges of the then-current fee until you cancel.
Your subscription renews automatically each month unless cancelled before the renewal date. We may change subscription pricing or plan features on reasonable prior notice; continued use after a price change constitutes acceptance of the new price. You are responsible for all applicable taxes.
The free plan permits a limited number of generations. Free-plan limits, features, and availability may change at any time at our discretion. Certain features (including full content plans, shoot plans, and AI image generation) are available only on the Pro plan.
You may cancel your Pro subscription at any time. Upon cancellation, your subscription will not renew, and your Pro access will continue until the end of the current paid billing period. Except as required by applicable law or as stated in our Refund & Cancellation Policy, fees already paid are non-refundable and we do not provide pro-rated refunds for partial periods. You agree not to use the Service to: (a) create or distribute content that is unlawful, defamatory, obscene, hateful, harassing, deceptive, or infringing; (b) impersonate any person or misrepresent your affiliation; (c) generate content that violates the rights of others or any applicable law; (d) reverse engineer, scrape, resell, or build a competing product using the Service or its outputs; (e) attempt to gain unauthorised access to the Service, other accounts, or our systems; (f) upload malware or interfere with the Service; or (g) exceed, circumvent, or abuse usage limits or the payment/plan system. We may suspend or terminate accounts that violate this section.
As between you and us, you retain ownership of the specific text and images you generate for your own business through the Service, subject to the rights of any underlying third-party model providers and to these Terms. You grant us a limited, non-exclusive licence to process your inputs and generated outputs to provide, maintain, secure, and improve the Service. You represent that you have all rights necessary to your inputs and that your use of outputs will not infringe any third-party rights.
The Service, including its software, design, branding, name, logo, and all related intellectual property, is owned by or licensed to Fezi and is protected by law. Except for the limited rights expressly granted to you, nothing in these Terms transfers any right, title, or interest in the Service to you.
The Service relies on third-party providers, including Razorpay (payments), Google (authentication and AI language models), open-source image-generation models, and hosting and infrastructure providers. Your use of those services may be subject to their own terms. We are not responsible for the acts, omissions, availability, security, or content of any third-party service, and we disclaim all liability arising from them.
THE SERVICE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, TITLE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, secure, or that any output will meet your requirements. To the maximum extent permitted by applicable law, we disclaim all such warranties.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, in no event shall Fezi, its operator, or its affiliates be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, business, or opportunity, arising out of or related to your use of (or inability to use) the Service or any Content, whether based in contract, tort, negligence, strict liability, or otherwise, even if advised of the possibility of such damages.
To the maximum extent permitted by applicable law, our total aggregate liability arising out of or related to the Service or these Terms shall not exceed the greater of (a) the total amount you actually paid to us for the Service in the three (3) months immediately preceding the event giving rise to the claim, or (b) INR 1,000.
You agree to defend, indemnify, and hold harmless Fezi, its operator, and affiliates from and against any claims, damages, liabilities, losses, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service; (b) any Content you generate, publish, or distribute; (c) your violation of these Terms or any law; or (d) your infringement of any third-party right.
We may suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe you have violated these Terms or applicable law, or to protect the Service or other users. You may stop using the Service and delete your account at any time. Sections that by their nature should survive termination (including disclaimers, limitation of liability, indemnity, and governing law) will survive.
We may modify the Service or these Terms at any time. If we make material changes, we will take reasonable steps to notify you, such as by posting the updated Terms with a new "Last updated" date. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
Our collection and use of personal data is described in our Privacy Policy, which forms part of these Terms. We process personal data in accordance with applicable Indian law, including the Digital Personal Data Protection Act, 2023, as applicable.
These Terms are governed by and construed in accordance with the laws of India. Subject to the dispute-resolution clause below, the courts at Bengaluru, Karnataka, India shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service.
Any dispute, controversy, or claim arising out of or relating to these Terms or the Service that cannot be resolved amicably shall be referred to and finally resolved by arbitration by a sole arbitrator under the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration shall be Bengaluru, Karnataka, India, and the language shall be English.
We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including acts of God, internet or infrastructure failures, third-party service outages, government action, or other force-majeure events.
If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force. Our failure to enforce any right is not a waiver of it. You may not assign these Terms without our consent; we may assign them freely. These Terms, together with the policies referenced herein, constitute the entire agreement between you and us regarding the Service.
